2.4 約束（契約）がないと？
では、トラブルが起こって、そこに契約書があっても、そのトラブルに関する条文が契約書にない場合はどうなるのでしょうか。
実はよく聞く民法という法律はほとんどそのためにあります。両当事者間で事前に何も決めていなく（「定めがない」という）、トラブルが起こった場合は、民法などのいわゆる任意規定と呼ばれるものに従って処理されることになります。
「任意規定」というのは、その条文に違反する効果を認めない「強行法規」と呼ばれるものに対比して、「両者が特別に約束した場合以外は、この規定を適用します。しかし、この規定とは異なった約束をするのは自由です」と民法で補充的に決められている規定になります。契約書等の証拠が無い場合も同様に任意規定に従って扱われる可能性が高くなります。
しかしながら、任意規定はいろいろな世界の常識をいっしょくたにしたものですから、SEの業界でそのまま適用するには、あまり商慣習にそぐわない部分も多く出てきます。
このような任意規定に従わないことを明確にするために、任意規定と異なる契約書を結ぶことが重要になります。
