2.1 裁判になったときに証拠とするため

　そもそも契約書はなんのためにあるのでしょうか。究極の場合を考えてみましょう。相手方とプログラムを納めてお金をもらう約束をします。あなたはプログラムを完成させます。相手方に納品をします。相手がお金を払ってくれません。相手方と払う、払わないという言い合いになるでしょう。それでも払ってくれません。どうすればいいでしょう。話し合いでは埒があかないのですから、あなたにできることは裁判に訴えることだけです。さて、裁判でどうやって「プログラムを納めたらお金がもらえる約束になっていたんだ」と証明するのが一番楽でしょう。

　契約書があれば簡単です。契約書および契約手続きのときに提出する印鑑証明さえあれば、裁判所は、原則として相手の代表者印が押された書類の内容が約束された内容であると考え、よほどのことがないとくつがえりません。

　反対に、契約書が無くて、相手方が「あれはサービスだと言われた」と主張をし始めると、どっちがより正しいと考えるかという裁判官の判断一つにかかってきます。無償か有償かなら、あなたが有利かもしれません。しかし、金額の話や細かい規定の話でお互いの主張が異なると、契約書や録音テープでもない限り、どちらの言っていることが正しいのか、裁判官の考え次第という危ない事態になってしまいます。

　日本では、法律上、契約は申し込む意思とそれに対する承諾があれば口頭でも有効に成立します。ただ、口頭の申し込みと承諾は成立した事を証明するのが難しいのです。その点、契約書があれば、いざ裁判になったときに、どのような証拠を提出すれば約束があったことを証明できるのか悩む必要がありません。
