1.5 自社に有利な契約書かどうかはSEで決まる！

　技術を理解しているSEが、きちんと契約書検討の作業に携わっているかどうかで自社に有利できちんとした契約書が出来ているかどうかが決まります。

　こんなメールをしていないでしょうか。

　「先方からの契約書を転送します。コメントください」

　あなたは、先方から契約書が来たら中身も読まずに法務にそのまま転送していませんか。あなたがどんな取引をしたいのか、自社のポジションをどこに置きたいのか、あなたがやっている技術はどんな技術か法務に説明せずに、ただメールを転送しても、あなたの会社に有利な契約書はできません。「正しい」契約書なんて存在しないし、法務は実は何も分かってないのですから。

「前に法務さんから訂正ダメって言われた部分、やっぱり先方から直して欲しいって言われたんです。どうか訂正させてください」

　きちんと直して欲しい箇所を読みましたか。先方が直して欲しいと言われた箇所を訂正しても問題ありませんか。上司には相談しましたか。その上で、法務に「当部としては譲っても問題ないと考えているので譲りたい」とメールを書きましょう。基本的に法務が譲れないというのは、その箇所を譲ると会社のビジネスとして不利になるから心配しているだけです。法務が記載内容を決定できるわけではないです。間違えないようにしましょう。リスクをとるべき部署が譲ってもいいというなら、法務も譲ってもいいというでしょう。でも、よく読んでみてください。そこを譲っても本当に将来後悔しませんか。

　契約書に何を書くかを決定するのは、法務ではなくあくまでビジネスを行うべき部門です。法務はアドバイスはしますし、誤解のない文書案を練ってはくれますが、何を書くかは決定できません。何を書くかを法務に押し付けても、法務はいざというときに責任をとれません。「法務がうるさいから訂正できません」と言うは、対外交渉術としては意味があり得ますが、会社内では意味がありません。それはただの責任の押し付け合いです。何を書くべきかという責任をどの部署もとっていないだけになってしまいます。

　何を書くべきかという問題を責任のブラックスポットに落とさないために、SEにも簡単な契約書の検討方法の知識が必要になるのです。
